• You understand we are a document filing service, not a law firm
• You are not receiving legal advice, recommendations, or consultation
• You are directing us to prepare and file specific documents on your behalf
• You agree to be bound by these Terms of Service and all applicable laws
• You are responsible for all decisions regarding your business formation and structure

2. Description of Document Filing Services

SwyftForm provides the following document preparation and filing services at your specific direction:

• LLC Formation Filing: Preparing and filing Articles of Organization with state agencies based on information you provide
• Registered Agent Services: Acting as your registered agent to receive legal and government documents on your behalf
• EIN Application Filing: Submitting Form SS-4 to the IRS to obtain an Employer Identification Number
• Operating Agreement Preparation: Creating standard operating agreement documents based on your specifications (not legal drafting)
• Annual Report Filing: Preparing and filing annual reports and compliance documents with state agencies
• Amendment Filing: Filing amendments to your formation documents as you direct
• Document Storage: Storing copies of your filed documents in our secure platform
• Compliance Reminders: Sending notifications about upcoming filing deadlines

All services are document filing only. We do not advise you on what to file, when to file, or whether filing is appropriate for your situation.

3. User Responsibilities

You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Use our services only for lawful purposes
• Comply with all applicable federal, state, and local laws

4. Fees and Payments

Our fees cover document preparation and filing services only. You agree to pay:

• Service Fees: Fees for our document preparation and filing services
• State Fees: Required government filing fees (paid directly to state agencies)
• Registered Agent Fees: Annual fees for registered agent services (if selected)
• Expedited Processing: Additional fees for expedited state processing (if available and selected)

Service fees are generally non-refundable once work has begun on your filing. State fees paid to government agencies are non-refundable. Refund requests must be submitted in writing and will be reviewed on a case-by-case basis. We reserve the right to change our fees with prior notice.

5. No Legal Services or Advice

SwyftForm is NOT a law firm and does NOT provide legal services of any kind.

You acknowledge and agree that:

• We provide document filing services only, not legal advice or consultation
• We cannot tell you which business entity type is best for your situation
• We cannot advise you on tax implications, liability protection, or legal consequences
• We cannot review your specific situation and make recommendations
• We cannot explain legal terms, requirements, or your rights and obligations
• Any information on our website is general information only, not legal advice
• No attorney-client relationship exists between you and SwyftForm
• You should consult a licensed attorney for legal questions or advice

6. Limitation of Liability

As a document filing service, our liability is limited to the preparation and filing of documents as you direct. To the fullest extent permitted by law:

• We are not liable for the legal consequences of your business decisions or structure choices
• We are not liable for rejections by state agencies due to incorrect or incomplete information you provided
• We are not liable for delays caused by state agencies or government processing times
• We are not liable for any business losses, lost profits, or indirect damages
• Our total liability is limited to the amount of fees you paid for our services

You are solely responsible for the accuracy of information provided and for all business and legal decisions regarding your LLC.

7. Intellectual Property

All content on our platform, including document templates, software, logos, and website content, are the exclusive property of SwyftForm and are protected by copyright and trademark laws. You may not copy, reproduce, or distribute our materials without permission.

8. State Agency Processing

We submit your documents to state agencies and the IRS as a filing service. You acknowledge:

• State agencies may reject filings for various reasons beyond our control
• Processing times vary by state and we cannot guarantee approval timelines
• State fees are paid directly to government agencies and are non-refundable
• You are responsible for ensuring all information provided is accurate and complete
• We will notify you of any rejections or issues reported by state agencies
• Additional fees may apply for resubmissions if your filing is rejected due to errors in information you provided

9. Disclaimer of Warranties

Our document filing services are provided "as is" without warranties of any kind. We do not warrant that:

• State agencies will approve your filings
• The LLC structure you choose is appropriate for your business
• Your documents will provide the legal protections you seek
• Our platform will be uninterrupted or error-free
• Your business will achieve any particular outcome

10. Termination

We reserve the right to terminate or suspend your account for violations of these Terms of Service. You may cancel services at any time, but fees for services already rendered or documents already filed are non-refundable.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12. Changes to Terms
